By accessing our website, submitting a form or engaging us for recruitment, corporate gifting, event management, billing software setup or digitalization solutions, you agree to be bound by these Terms. If you do not agree, please do not use this website or our services.

1. Introduction & Acceptance of Terms

Scalerpedia ("we", "us", "our") is a business solutions company based in Prayagraj, Uttar Pradesh, India. These Terms apply to all visitors, users, clients and others who access or use our website or services.

By using this website or engaging our services, you:

  • Confirm that you are at least 18 years old or have legal capacity to enter into a contract.
  • Agree that you have read, understood and accepted these Terms & Conditions.
  • Agree to comply with all applicable laws and regulations.

4. Services Provided by Scalerpedia

Scalerpedia offers end-to-end business support solutions. Depending on your requirement, we may provide one or more of the following services:

  • Recruitment & HR Consultancy – sourcing, screening and shortlisting candidates, coordinating interviews and supporting joining formalities.
  • Corporate Gifting – customised corporate gifts, branded merchandise, employee and client gifting solutions.
  • Event Management – corporate events, launches, brand activations, conferences and related event support.
  • Billing Software Setup – configuration, basic setup and limited training for billing software as per the agreed scope.
  • Digitalization Solutions – website development, digital marketing, branding and other digital services as defined in the proposal.

The exact scope of work, timelines, deliverables and commercials will be mentioned in a separate proposal, quotation or written agreement for each project.

5. Use of Third-Party Tools, Platforms & Vendors

Many projects require integration with or usage of third-party services, including but not limited to:

  • Software subscriptions, licenses, plugins and SaaS tools
  • Domain, hosting, email and cloud services
  • Couriers and logistics for gifting/merchandise
  • Printers, fabricators, production vendors and event vendors
  • Venues, artists, technical teams and other event resources

Unless clearly mentioned in the proposal, such third-party costs are not included in our service fee. They will either:

  • Be paid directly by you to the provider, or
  • Be billed to you separately by Scalerpedia as per actuals (plus any agreed handling charges).

We do not control or guarantee pricing, uptime, policies or performance of any third-party vendor, software or platform.

6. Payment Terms & Invoicing

Unless otherwise agreed in writing, the standard payment structure is:

  • Advance: 30–50% of the total project value is payable in advance to start work.
  • Balance: The remaining amount is payable before final delivery, launch or event date.
  • Taxes: Applicable taxes (e.g., GST) are charged extra as per government norms.
  • Third-Party Fees: Software subscriptions, licences, plugins, hosting, courier, vendor and event booking charges are billed separately unless explicitly included.

If payments are delayed, Scalerpedia may:

  • Pause work until outstanding amounts are cleared.
  • Reschedule timelines and delivery dates.
  • Charge late fees/interest where such terms are mentioned in the proposal.
7. Refunds, Cancellations & Project Changes

Generally, advance payments are non-refundable, especially where costs are already incurred. No refunds will be provided for:

  • Customized or personalised corporate gifts once design/production has started.
  • Vendor retainers, venue bookings or advance payments made on your behalf.
  • Software licences, subscriptions or digital tools purchased specifically for your project.
  • Recruitment fees once a candidate has joined and completed the agreed guarantee period (if applicable).

In case you cancel or significantly change the scope mid-way:

  • Work already completed will be billed as per actual efforts and cost.
  • Any non-recoverable third-party expenses will remain payable by the client.

Any exceptions or special cases will be considered only at the discretion of Scalerpedia’s management.

8. Client Responsibilities

To help us deliver quality work on time, you agree to:

  • Provide accurate and up-to-date business and project information.
  • Share content, brand assets, approvals and feedback within agreed timelines.
  • Make advance and milestone payments as per the agreed schedule.
  • Ensure that all materials (logos, images, copy, data, etc.) you supply are lawful and authorised for use.
  • Follow usage policies of any third-party software or tools used in your project.

Delays in information, approvals or payments from your side may lead to corresponding delays in project completion and delivery.

9. Scalerpedia’s Responsibilities

Scalerpedia will:

  • Provide services in a professional, ethical and timely manner, as per the agreed scope.
  • Make reasonable efforts to meet timelines, subject to timely client inputs and approvals.
  • Maintain confidentiality of sensitive business information, except where disclosure is required by law.
  • Deliver agreed outputs such as reports, creatives, software setup, gifting items or event execution as per the proposal.

While we work to achieve the best possible outcomes, we cannot guarantee specific business results (for example: exact number of leads, sales, footfall, or candidate performance).

10. Intellectual Property & Confidentiality

Unless otherwise agreed in writing:

  • All custom designs, code and documents created by Scalerpedia remain our intellectual property until full payment is received.
  • After full payment, you receive a licence to use the final deliverables for your business as intended.
  • Scalerpedia may showcase non-confidential work (like websites or campaign creatives) in its portfolio, unless you request otherwise.

Both parties agree to keep non-public business, technical or personal information confidential, except where law requires disclosure or information is already public.

11. Limitation of Liability

To the maximum extent permitted by law, Scalerpedia is not liable for:

  • Failures, errors or downtime of third-party software, hosting, vendors or platforms.
  • Indirect, incidental or consequential losses such as loss of profit, revenue, or business opportunity.
  • Delays in delivery caused by late payments, delayed approvals or incomplete information from the client side.

In any case, Scalerpedia’s total liability for claims relating to a specific project will be limited to the total amount actually paid by you for that project.

12. Indemnity

You agree to indemnify and hold harmless Scalerpedia, its team members and partners from any claims, damages or losses arising from:

  • Content or materials provided by you that violate any law or third-party rights.
  • Misuse of deliverables contrary to recommended or agreed usage.
  • Your breach of these Terms & Conditions.
13. Suspension, Termination & Jurisdiction

Scalerpedia may suspend or terminate services or website access if:

  • Payments are unduly delayed.
  • Services or deliverables are being misused.
  • There is abusive, unlawful or unethical behaviour towards our team or partners.

These Terms are governed by the laws of India. Any disputes will first be attempted to be resolved amicably. Failing that, disputes will fall under the exclusive jurisdiction of the courts in Prayagraj (Allahabad), Uttar Pradesh, India.
